Terms of Use

6.1 Subscription Plans

FoxSuite.ai is offered on a subscription basis. Details of available plans, features included in each plan, and pricing are available at www.foxsuite.ai/pricing (subject to updates). By subscribing, you agree to the subscription terms including the recurring billing cycle applicable to your plan.

6.2 Free Trial

We offer a 14 (fourteen) calendar day free trial for new registered accounts. During the free trial:

• You have access to the features included in the trial plan as specified on our website.
• No payment is required during the trial period. However, you may be required to provide payment information at registration to commence the trial.
• If you do not cancel before the end of the 14-day trial period, your subscription will automatically convert to a paid plan and your payment method on file will be charged at the applicable rate.
• Free trials are available only once per business entity. Creating multiple accounts to access repeated free trials is a violation of these Terms.

6.3 Billing and Payment

• Subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase.
• All fees are exclusive of applicable taxes (including GST/VAT), which will be added as required by applicable law.
• Payments are processed by our authorized third-party payment processors. By providing payment information, you authorize us to charge the applicable fees through the payment processor.
• We reserve the right to modify subscription pricing with 30 (thirty) days' prior written notice to registered subscribers. Continued use after price changes take effect constitutes acceptance of the new pricing.

6.4 Refund and Cancellation Policy

We apply the following refund and cancellation policy:

• Monthly Subscriptions: You may cancel your monthly subscription at any time. Cancellation takes effect at the end of the current billing month. No refunds are issued for the unused portion of a monthly subscription period.
• Annual Subscriptions: Annual subscriptions may be cancelled within 30 (thirty) days of initial purchase for a full refund of the annual fee paid, minus any applicable processing fees. After this 30-day window, no refund is issued for the remaining annual period. Exceptions may be made at our discretion for extenuating circumstances — contact hello@foxsuite.ai.
• Free Trial Period: If you cancel during the 14-day free trial before any charges are incurred, no fee is charged and no refund is applicable.
• Non-Refundable Items: Setup fees, onboarding fees, and custom implementation work are non-refundable once work has commenced.
• Service Credits: In the event of significant service outages or failures attributable to us (exceeding the downtime thresholds in our Service Level commitments, if applicable), we may issue service credits at our discretion. Service credits are not transferable and cannot be exchanged for cash.

Refund requests must be submitted to hello@foxsuite.ai with your account details and reason for the request. Decisions are made within 10 business days.

7.1 Prohibited Uses

• Using the Platform to transmit, store, or process any unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or fraudulent content.
• Violating any applicable local, state, national, or international laws or regulations.
• Infringing on the intellectual property rights, privacy rights, or other rights of any third party.
• Attempting to gain unauthorized access to the Platform, other users' accounts, or our systems.
• Using the Platform to send unsolicited bulk communications (spam).
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Platform.
• Using bots, scrapers, or automated tools to extract data from the Platform without prior written authorization.
• Introducing malware, viruses, Trojan horses, ransomware, or other malicious code into the Platform or its infrastructure.
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
• Reselling, sublicensing, or otherwise commercializing access to the Platform to third parties without our written consent.
• Using the Platform in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with other users' use.
• Using Fox Tracking's biometric features without obtaining the required consents from the individuals being enrolled.
• Using Fox AI Agents or Fox CRM to store or process data in violation of applicable data protection laws.

7.2 AI Features — Acceptable Use

When using AI-powered features (Fox AI NoteTaker, Fox AI Agents, and AI integrations within other modules), you additionally agree:

• Not to use AI features to generate, distribute, or act on content that is misleading, defamatory, discriminatory, harmful, or illegal.
• Not to input sensitive personal data (including health records, financial data, government ID numbers, or biometric data beyond what is required for Fox Tracking's attendance module) into AI chat or prompt interfaces unnecessarily.
• To be solely responsible for the outputs generated by AI features when used in your business context. AI-generated content (summaries, responses, recommendations) may contain errors and should not be relied upon without human review for consequential business decisions.
• To comply with the acceptable use policies of the underlying AI model providers (OpenAI, Anthropic, Google) to the extent they are applicable to your use case.

8.1 Our Intellectual Property

The Platform — including its software, design, architecture, interfaces, algorithms, AI models, trademarks, service marks, logos, text, graphics, and all content created by Buzytech IT Solutions Pvt. Ltd. — is the exclusive intellectual property of Buzytech IT Solutions Pvt. Ltd. and is protected by applicable intellectual property laws in India and internationally.

Nothing in these Terms grants you any right, title, or interest in or to the Platform or its underlying technology, except for the limited right to use the Platform as expressly granted under these Terms.

8.2 Your Content and Data

You retain all intellectual property rights in the content, data, and information you submit, upload, or create through the Platform ("User Content"). By submitting User Content to the Platform, you grant Buzytech IT Solutions Pvt. Ltd. a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely to the extent necessary to provide the Platform's services to you.

You represent and warrant that you have all necessary rights and permissions to submit User Content to the Platform and to grant us the license described above.

8.3 Feedback

Any feedback, suggestions, or ideas you submit to us regarding the Platform ("Feedback") may be used by us without restriction or compensation to you. You grant us a perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize Feedback in any form.

10.1 Beta Disclaimer

As a Beta platform (Version 1.0), FoxSuite.ai is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

We are actively developing and improving the Platform, and we expressly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• That the Platform will meet your specific business requirements.
• That the Platform will be available, uninterrupted, timely, secure, or error-free at all times.
• That data stored on the Platform will not be lost, corrupted, or compromised.
• That defects or errors in the Platform will be corrected within any specific timeframe.

10.2 AI-Generated Content Disclaimer

The Platform's AI-powered features (including Fox AI NoteTaker, Fox AI Agents, and AI integrations) generate content using large language models. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, outdated, or inappropriate for your specific business context.
• AI models may produce different outputs for the same input at different times (non-deterministic behavior).
• AI-generated summaries, recommendations, or automated decisions should be reviewed and verified by qualified human personnel before being relied upon for consequential business decisions.
• We are not responsible for any losses, damages, or liabilities arising from your reliance on AI-generated content without appropriate human oversight.

10.3 Biometric Data Disclaimer

The Fox Tracking module's biometric attendance and video analytics features involve the collection and processing of biometric data. You, as the Client and Data Controller, are solely responsible for:

• Ensuring you have obtained valid, informed, and documented consent from all individuals whose biometric data is collected.
• Complying with all applicable biometric data protection laws in your jurisdiction (including BIPA for US clients, GDPR for EU clients, and India's DPDP Act for Indian clients).
• Maintaining a biometric data retention and destruction policy.
• Notifying individuals of the purposes for which their biometric data is being used.

We disclaim all liability for any non-compliance with biometric data laws arising from your deployment of the Fox Tracking biometric features without appropriate consents and legal safeguards.

10.4 Third-Party Services Disclaimer

We do not warrant or guarantee the performance, availability, or accuracy of any third-party services integrated with the Platform. Your use of third-party integrations is at your own risk.

14.1 Termination by You

You may terminate your FoxSuite.ai account at any time by accessing your account settings and following the account deletion procedure, or by contacting us at hello@foxsuite.ai. Termination does not entitle you to any refund except as described in our Refund Policy (Section 6.4).

14.2 Termination by Us

We reserve the right to suspend or terminate your account or access to the Platform, with or without notice, in any of the following circumstances:

• You have violated these Terms or our Privacy Policy.
• We reasonably suspect fraudulent activity or unauthorized use of your account.
• You have failed to pay applicable subscription fees.
• Continued provision of the service to you would expose us or other users to legal or security risk.
• We are required to do so by applicable law or regulatory authority.
• We are discontinuing or significantly modifying the Platform.

14.3 Effect of Termination

Upon termination of your account:

• Your right to access and use the Platform ceases immediately.
• We will retain your data for the standard 90-day post-deletion retention period described in the Privacy Policy, after which it will be permanently deleted.
• Clauses of these Terms that by their nature survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

15.1 Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

15.2 Jurisdiction

Any disputes arising out of or in connection with these Terms, the Platform, or any services provided by Buzytech IT Solutions Pvt. Ltd. shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, and New Delhi, India.

15.3 Dispute Resolution Process

Before initiating any legal action, the parties agree to attempt to resolve disputes amicably through the following process:

• Step 1 — Written Notice: The aggrieved party shall provide written notice of the dispute to the other party at the contact information provided in these Terms.
• Step 2 — Good Faith Negotiation: The parties shall negotiate in good faith for a period of 30 (thirty) days from receipt of the written notice to attempt to resolve the dispute.
• Step 3 — Arbitration (Optional): If the dispute is not resolved through negotiation, the parties may mutually agree to refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration being New Delhi, India, and proceedings conducted in English.
• Step 4 — Litigation: If arbitration is not agreed upon, either party may pursue remedies through the competent courts as described in Section 15.2 above.

15.4 International Users

Notwithstanding the above, we acknowledge that users in the EU, UK, UAE, and other jurisdictions may have additional rights under local consumer protection and data protection laws that cannot be excluded by contract. Nothing in these Terms limits any such statutory rights.
